Matt Simpson and Dan Auslander are here with their fifth episode of “Deal with Me,” a series of podcasts designed to provide insights—both personally and professionally—into the people that lead the Transaction Insurance industry, and increase the understanding of the Transaction Insurance marketplace, products, and trends. Ai Tajima is a counsel in Goodwin’s Risk Management & Insurance practice and concentrates her practice on advising and advocating for clients on insurance matters. She is a leading practitioner of transactional insurance and offers practical advice during every stage of M&A transactions using R&W, W&I and other transactional insurance. Ms. Tajima counsels a broad range of clients, including private equity sponsors, corporate buyers, and technology companies in both transactional and litigation contexts. She has extensive experience negotiating R&W, W&I, D&O and other insurance policies. For years, she has been at the forefront of negotiating and structuring transactional insurance in complex transactions for clients. She also advises clients regarding the scope of insurance coverage and related indemnification obligations and advocates for clients during the claims process. Ms. Tajima previously practiced as a litigator and represented clients in complex litigation and government investigations, which gives her insight on the practical impact of insurance coverage and policy language.

Ashley Parsa leads the claims practice for the Transactional Risk group at Marsh.  She is an expert in the field of transactional risk insurance, and has extensive experience advising clients with respect to complex transactional risk insurance claims and also with the negotiation and placement of transactional risk insurance policies.  Ashley currently resides in Marsh’s Atlanta office. She joined Marsh in 2015. Prior to joining Marsh, Ashley was an underwriter at AIG in the Mergers and Acquisitions Insurance Group. She was responsible for underwriting representations and warranties insurance policies and other transactional risk insurance products.  Prior to AIG, Ashley was an associate at Jones Day in their Mergers and Acquisitions practice group.

In his current role at Ambridge Partners, Daniel Auslander is responsible for maintaining and developing their brokerage relationships.  Ambridge, a managing general underwriter, is a market leader in the Transactional Insurance product lines with a keen interest in expanding its product portfolio – including Directors & Officers Liability and Intellectual Property Insurance.

Mintz Member Matthew T. Simpson focuses his practice on helping his clients navigate increasingly complex corporate transactions including leveraged buyouts, recapitalizations and minority investments in the United States and abroad. He is a leader of the firm’s transactional insurance practice, offering his clients increasingly creative and effective ways to distinguish themselves in competitive processes while mitigating downside risk, and acts as underwriting counsel to a leading transactional insurance underwriter.
